4. Information on the Site (No Offer / No Binding Commitment)

All information, product categories, images, and sample product listings on the Site are for general informational purposes and are representative examples. They:

• do not constitute a binding offer to sell,

• do not guarantee availability, price, lead time, or specifications,

• may be changed or withdrawn at any time.

A binding transaction exists only when the parties sign a written agreement and/or confirm an order in writing (including by email) on agreed commercial terms.

5. RFQ, Quotes, and Custom Orders

5.1 Request for Quotation (RFQ)

When you submit an RFQ through the Site, email, or messaging platforms (including WhatsApp), you confirm that the information provided is accurate and complete.

5.2 Quotations

Any quotation we provide is subject to:

• final specification confirmation,

• supplier confirmation,

• availability at the time of procurement,

• applicable export/import requirements and compliance checks,

• validity period stated in the quotation (or, if not stated, a reasonable period due to market volatility).

Unless explicitly stated otherwise, quotations are non-binding until accepted by both parties in writing and supported by an agreed document set (e.g., proforma invoice and/or sales contract).

5.3 Customization

Many products are sourced based on custom specifications (dimensions, grades, materials, standards, packaging, labeling, etc.). You are responsible for confirming final specifications and suitability before order confirmation.

6. Orders, Documentation, and Communications

6.1 Order Confirmation

Orders are typically confirmed via written communication (email and/or signed documents). You must not rely on verbal or informal messages as final order confirmation unless we explicitly state so in writing.

6.2 WhatsApp / Messaging

If we communicate via WhatsApp or other messaging services, you acknowledge:

• messaging platforms may not be fully secure,

• message delivery may be delayed,

• final commercial terms should be confirmed in formal documentation.

7. Pricing, Currency, and Payment

• Prices may be quoted in EUR, USD, or other agreed currencies and may be subject to FX movements, supplier price changes, and logistics adjustments.

• Payment terms are agreed per transaction and must be fulfilled according to the issued proforma invoice/sales contract.

• All bank charges, intermediary fees, and compliance-related costs may be allocated as stated in the commercial documents.

• Failure to pay on time may result in cancellation, suspension, or revised terms.

8. Shipping, Delivery, and Risk

• Delivery timelines are estimates unless expressly guaranteed in writing.

• Shipping may be handled through third-party carriers/forwarders. We are not responsible for carrier delays, customs inspections, port congestion, force majeure, or other events outside our control.

• Risk transfer and responsibilities (including Incoterms) are determined by the commercial documents for each transaction.

9. Import/Export Compliance and Customer Responsibilities

You agree to comply with all applicable laws and regulations, including:

• import/export rules,

• customs requirements,

• sanctions and restricted party screening,

• product standards, labeling, and certification requirements in the destination market.

You are responsible for ensuring that the requested goods are lawful to import, possess, use, and resell in your jurisdiction. We may refuse or terminate any request/order if compliance concerns arise.

10. Intellectual Property

All content on the Site (text, layout, branding, logos, images, design elements) is owned by or licensed to us and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or exploit any content without our prior written consent.

11. Prohibited Use

You agree not to:

• use the Site for unlawful purposes,

• attempt to access systems or data without authorization,

• introduce malware, scrape data, or disrupt the Site,

• compliance or customs outcomes.

Our total liability relating to any claim connected with a transaction shall not exceed the fees actually paid to us (if any) for the specific transaction giving rise to the claim, unless otherwise required by mandatory law.

15. Indemnity

You agree to indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• your breach of these Terms,

• your misuse of the Site,

• your requested specifications or use/resale of goods,

• your failure to comply with applicable laws and regulations.

16. Force Majeure

We are not liable for failure or delay due to events beyond reasonable control, including but not limited to: natural disasters, war, labor disputes, supplier disruptions, transport interruptions, port congestion, government actions, pandemics, and changes in law or trade restrictions.

17. Suspension and Termination

We may suspend or terminate access to the Site or refuse service at our discretion where we suspect:

• unlawful activity,

• sanctions/compliance risks,

• fraudulent or misleading conduct,

19. Governing Law and Dispute Resolution
